Managing Or Building A Business? A Discussion of Ethics

While it may be a truism to say that most of us would like to either be independently wealthy or
work four ourselves, building our own brand of business, the reality of the situation is that few of
us, statistically speaking, will ever achieve that dream. This leaves us with the necessity of playing
the office politics game, getting on the good side of management, and trying not to rock the boat
too much. Of course, there may come a time when you are presented with an ethical dilemma
when it comes to your relationship with your boss. There may come a time when your boss asks
you to do something that is slightly off the path, ethically and morally speaking. And at that time,
you will have to make a choice: go with the flow and do as they say, breaking your own code of
ethics in the process, or go against the grain, stand up for yourself and your beliefs, and risk losing
favor with management, or even risk losing your job.

Of course, much of the decision making power will have to do with the specific situation
involved. If you boss asks you to do something clearly illegal, which could cost you much more
than your job, the choice will be a lot easier than something on a smaller, subtler scale. Say for
instance your boss wants you to begin a surveillance program, keeping track of everyone’s
internet activity in the office. You may feel this is an invasion of privacy, even if you are not
breaking any laws. Your friends and coworkers in the office would lose respect for you if they
found out about your surveillance, and it may even be a case where if you won’t do it, someone
else will. This is where you will have to decide where and what you want to stand for. If you
agree to the task, you might be breaking your personal code of ethics; if you deny it, you may risk
losing your job or, more likely, be passed over for that next promotion.

Situations like the one described above are never easy. There are many considerations to take
under advisement, and it would behoove anyone in such a situation to consult with their family
and the people they trust for counsel before proceeding. In the end, of course, you must make the
decision that feels right to you. If you feel, for instance, like perusing the internet activity of that
girl in accounting is a light transgression, it may be easy to decide to go with the flow in this
instance. On the other hand, if you feel strongly that management has no right to invade their
employees privacy in this way, it may be a situation where it is worth the penalty to stand up for
your beliefs.

With many ethical considerations, there are no clear cut answers. There is only your personal set
of beliefs, staged against another’s. These situations can be the most difficult to conquer, as they
may come down to nothing more than personal disagreements. Neither of you may have an
objective stance of right or wrong, but both of you may feel just as strongly about your opinion.
In the end, it will fall to you to make the decision you can live with.

Set Your New Small or Home Business Up Right Profitally and Legally

You will also want to put some thought into the new business in terms of what type it should be: a sole proprietorship, a for-profit corporation, or a non-profit corporation.

 

A sole proprietorship is when one person operates and owns a business and it is not incorporated. This form of business is how many enterprises get their start. One person goes out and offers his or her services, or this one person makes some kind of product which is sold to the public. This is the simplest type of business in terms of the paperwork involved in getting started, and simple in terms of having only yourself to deal with rather than a host of employees or a board of directors.

 

There are several forms that a for-profit corporation can take. Sometimes a small business will choose to become a LLC, or limited liability company. This type of incorporation can protect your personal assets in the event of bankruptcy, and it provides a somewhat easier and less expensive form of incorporation than some of the others available. LLC owners are called members, which can consist of one person or many.

 

A C Corporation is legally a separate entity from its owners. Shareholders own it because they have exchanged money and/or property for the C Corporation's stock. You can tax or sue it, and you can create a contract with it. You have to file articles of incorporation with the government and pay a fee. A board of directors will make the decisions for the business and the policies it will abide by, called bylaws www.corporate.com. You can sell a corporation to new shareholders, if you choose, and it will continue to exist as an entity. This type of corporation will also protect your personal assets in a bankruptcy, and corporations can also take special tax deductions. In addition, you can sell stock in a corporation.

 

An S Corporation offers the advantage of being exempt from federal income tax in certain situations. This means that each of the owners, or shareholders, which in this case have to be natural human beings and not other corporations, report the income, deduction, loss and credit on their own personal tax return in proportion to their interest in the business. It offers the advantage of protection of personal assets if the business falls into bankruptcy.

 

Depending on the purpose of the new business you are planning to start, you might find that it would be to your benefit to form a non-profit corporation. By forming a non-profit corporation, one type of which is a 501(c)(3), the advantages are that you may become exempt from some taxes, and your personal property would not be at risk in the event of bankruptcy of the business. Individuals cannot become a non-profit corporation, only groups. The Internal Revenue Service can tell you if the business you want to form will qualify as a non-profit, at http://irs.gov/charities/index.html  The other great news is that non-profits are eligible for many more grants than are for-profit corporations, so if you are looking to procure grant money, you will want to consider the non-profit business form and see if your business will fit into that format.

The sole proprietorship is the most popular business structure. According to the Internal Revenue Service, more than 20 million people filed non-farm sole proprietorship income tax returns in 2004, which represented a 4.5 percent jump from the previous year.

Many individuals go with the sole proprietorship model because of its ease. It is the preferred legal structure for businesses in which one person is the owner and the chief employee (though a sole proprietorship may have other employees as well).

Some people are sole proprietors and don’t even know it. If you’re moonlighting for your own business or doing freelance work on the side, you’re automatically a sole proprietor.
Just Start Working

There is no paperwork involved in becoming a sole proprietor if you are doing business in your own name, unless there are state or local permits you need to file to set up your business. You should, however, open a business account that is separate from any other income you might have to keep your business funds together. Likewise you should have a separate bookkeeping system for the business instead of doing your personal and business accounting together.


One advantage of a sole proprietorship is the lack of paperwork.

Doing Business As

If you do want to name your business something other than your name, you probably will have to file a fictitious name report or a “doing business as” statement with your city or county clerk’s office. This notice lets people know that you are the person behind the business.

Most sole proprietorships are still run in the business owner’s name, meaning customers write checks to you instead of to your fictitious business name, and your business checking account is in your name. That’s because your business doesn’t really exist apart from you, as you’ll see in the section on taxes.

Business Naming Tips

Of course you want your business name to be unique, so do a little searching around, at least in your local area, to make sure no other business has the name you’re planning to use.

If another business is using the same name, you might be infringing on their copyright if you choose the same name, so you want to make a good effort to ensure there isn’t another business that has trademarked the name. The easiest way to find out if another business has the name you want is to do a search on your favorite search engine.

Your name should be easy to remember and spell. If you want to start a Web site with the same name, you’ll need a name for which the web address is available. The name of your business should also be sufficiently descriptive so that people will know basically what you do just from reading the name of the business. This is helpful for business cards and listings in the phone book, where you won’t be able to offer a lot of extra detail.

Here are some questions that you might want to think about when looking for a good name:

• Should your name describe your products of services?
• Would you like your name to convey your experience in your field?
• How can your name grab attention?
• Is your name easy to remember?

Also think about whether you want your personal name to be part of the business name, and where it will fall in alphabetical order (as in phone listings)

Steps for Naming a Business

No matter what legal structure your business is going to have, it is important to check the availability of the name you would like to use before you do anything else. You don’t want to learn that your name is taken after you order business cards, for instance.

Once you know your name is good, file the necessary paperwork to get your business going (for sole proprietorships and partnerships, that just means any tax forms or permits). Then register for a domain name using your business name if you want, and, finally, order your business cards, letterhead and other business documents after you know that your name has been accepted which will get your business officially "off the ground".

 

Little Known Sole Proprietorship Tips

If you are planning to have employees in your sole proprietorship, you will need to apply for an Employer Identification Number. This is a code similar to a Social Security number that identifies your business for tax purposes.

If you have employees, you have to have this number no matter what legal structure your business has. If you are in a partnership or a corporation or are making the switch from a sole proprietorship to another business structure, you have to have this number even if you don’t have employees. You can find the form to apply for an EIN at the Internal Revenue Service Web site, http://www.irs.gov.

Taxes and the Sole Proprietor

In the eyes of the law and the government, a sole proprietor and his or her business are the same thing. That means you report all your income and business losses on your personal income tax return, with the addition of a form called the Schedule C, Profit or Loss from a Business.

Another term for this process is pass-through taxation, because the profits in essence pass through the company to you as an individual and you pay all the taxes, rather than having the business itself pay some taxes, as happens with a corporation.

The main difference when you are working for yourself is that there isn’t an employer to withhold Social Security and Medicare payments for you. You’re still required to pay these taxes through estimated tax filings throughout the year.

How to Pay Estimated Taxes

Estimated taxes are based on a percentage of the amount of money you expect to make in the current calendar year. The current self-employment tax rate is 15.3 percent. In 2006, only the first $94,200 made by an individual was subject to the full tax; for income beyond that level, only the 2.9 percent Medicare tax had to be paid.

Estimated taxes are paid quarterly and are due on:

• April 15
• June 15
• September 15
• January 15 of the next year

People must pay estimated taxes if they expect to owe more than $1,000 in taxes by the end of the year and you expect the amount withheld to be less than the smaller of 90 percent of the amount withheld in the previous year or 100 percent of the tax shown on your previous year’s tax return.

Self-employment taxes can be complex, but the IRS provides a lot of good information to help business owners figure out when and how much to pay. In particular, check out http://www.irs.gov/publications/p505/ch02.html#d0e4547 on tax withholding and estimated tax calculation.

When you start making a lot of money from your business, you may also have to pay estimated personal income taxes to your state. Check with your individual state’s revenue department for more information on the income tax rates and at what level you will start to be penalized if you do not pay estimated taxes (in most states it is when you owe $1,000 or more, just like with the federal government).

Spouses as Employees

If you want to file a joint tax return with your spouse, you still can even though your business is classified as a sole proprietorship. You do not have to legally become a partnership to make this acceptable. Whomever’s name is on the Schedule C filed with your personal income tax will be considered the owner of the business.

Your spouse can also volunteer to work for your business without pay so that you do not have to pay payroll taxes or go through the paperwork involved in having employees. But if you’re ever audited and the IRS thinks you’re getting too much work for free or your spouse’s contribution is too substantial, you might have to pay back employment taxes.

You home office should be set up and decorated ideally to match your home business. Your office may have a reception area, if needed. Or it may contain just a single table, chair, computer, and an Internet connection. Either the case, you should know what you need to make that business flourish.

1. Know what you want. First off, you should determine the condition you work best. Do you need to be inside a very confined cubicle just like at work? 3. Put a lot of organizational devices. File cabinets, book shelves and office tables – these are all needed so that you can cut on clutter and stop papers strewn all over. 4. Consider comfort. Of course, you are going to spend almost the entire day inside your home office. You should make sure that the furniture you have in place are all ergonomic. The Downside of Parents Working Home and How to Get Things Done Effectively

Handling business at home and juggling with kids is definitely stressful.  It’s either the parents distract the kids to get some job done, or the kids distract the parents and make things a lot more difficult.

It is a challenge to keep the kids busy, specially if they are pretty young.  The old tricks up on the sleeves sometimes won’t do any good.  The home is itself a hard work for parents and balancing them really is tough.  Children crave attention and that’s one thing that should be given to them, it is a need.

These are some tips to help make parents and kids take advantage out of each passing day while at home working.

1. Wake up earlier than the kids.  This is the preparation hour, to assess the day ahead.  A time for meditation and envision that the day will be great.
2. Enjoy wake-up moments with kids.  It’s the time that kids will love kissing and snuggling with parents.  It is a time for eating breakfast together.  Presence counts at this young age they are in.
3. Keep them busy.  Set a routine of fun things to do to keep them busy and inform them in advance about having to work.
4. Hire a sitter.  Those that can afford a hired helper to attend to the kids at least a few times over the week can help give a moment of privacy to parents.
5. Work at flexible hours.  Making goals, like working for 4-5 hours per day or while the kids are having their nap time or are blissfully playing.
6. Be flexible.  Taking them outside allows them to be active while parents bring along their briefcases along to do some job done.
7. Give them tasks.  Kids feel most important when they are playing “little assistants” to mom and dad.  Stapling, clipping or cutting are tasks that they can manage to do.  They will surely love to hear “thank you.”
8. Do some things after hours.  Some of the private work can be done when kids are asleep.  This will give an extra hour of peace and quiet.
9. Give them their needs at the moment.  The choice to work home is the choice to be with kids.  Be happy for the chance to give them a hug or a kiss.
10. Take pleasure in working and spending time with kids.  The hard work is for them anyway.

How the Law of Attraction Can Help Your Business Prosper

The law of attraction, sometimes referred to as karma, applies to much, much more than just your personal life.  The law of attraction is evident all throughout the universe so it is no wonder that a number of people are using the power of positive thoughts and actions to experience unforeseen success and profits in their businesses.  As with other areas of your life, the law of attraction can have detrimental effects on your business as well if not used correctly.

So, what is the key to using the powerful law of attraction to improve your business and see it flourish?

It’s actually quite simple.  The law of attraction is the universal understanding that your life is a reflection of your actions.  Basically, what you accomplish and receive in life is the result of your thoughts and actions.  Good thoughts and good deeds bring about success and happiness, while negative or hurtful actions end with complications and sadness. 

In accordance with this simple law, you should concentrate your business efforts on benefiting the community and doing good for those around you.  In turn, you will be rewarded for your good actions with increased profits and a growing business.  If, instead, you embark on a business endeavor designed to deceive consumers into purchasing your product or service, you can expect troubles and hardships along your path.

According to the law of attraction, your thoughts and actions determine your fate, therefore you have the power to decide your own destiny.  If you strive to create goodness, you can achieve your dreams.  Look around you and notice those who recognize the law of attraction at work and are continuously seeking to improve humanity.  They are typically friendly, easy-going, and understanding.  Those who do not make an effort to do good are usually frustrated and short-tempered, often getting angry over the slightest problems.  You will see the same effects on businesses.  Those who follow the universal law operate efficiently and enjoy success, while those who do not are falling behind and operating in a chaotic state.

Some people believe that it is better to make money as an entrepreneur than working for someone else. Though this is hard, the rewards are many since the individual doesn't answer to anyone and all the profits goes to the person.

Entrepreneurs also have to do something that normal employed people do. Though the forms are different, these individuals also have to pay taxes which is mandatory by the government.

The form that the entrepreneur fills up is called a Schedule C form. This should be filed with the tax return so the income and expenses incurred can be reported to the IRS. Those who don't know how to do this should follow these steps to avoid making mistakes.

1. The person should determine the kind of business that exists. Is this a sole proprietorship or are there partners involved? If the individual lets people sell the goods, then it is considered to be a single ownership.

2. As mentioned before, there are many forms used in paying home business tax. If this is not related to fishing or farming, then the schedule C is used.

3. The person should get the schedule C form from the nearest Internal Revenue Service Office. People who only spend less than $2,500 that have no inventory, uses cash accounting, did not incur any losses, have no employees and are not deducting depreciation can use the C-EZ form.

4. The person should fill in pertinent details such as the name, social security number and address on the form. Should the individual act as a distributor of certain goods, the employer identification number must be mentioned.

5. The person should also write down the business name. A brief description must also be mentioned aside from the six digit code that is one of the things that also have to be filled up in the form.

6. There is a portion in the form that will ask about the accounting methods used. If the person uses a simple cash method, that will not be a problem using the schedule C form.

7. The person should also answer yes or no if one had an active role in the business. There are also other questions there which will have to be answered if this was started up or purchased from a former owner.

Using the home to transact business is considered tax deductible. All the person needs to do to take advantage of these measures is reporting this to the IRS using the proper forms.

Business method patents protect some very important things in your business.

Since the Supreme Court’s decision in 1998 to grant patents based on business methods, the Patent and Trademark Office has been inundated with applications of this type. There is currently a four-year wait for patent application approvals.

Before 1998, it was normally the assumption that a method of doing business could not be patented, and only a few property protections were in place. But in 1998, a landmark case between Signature Financial Group and State Street Bank and Trust, handed down a decision that a patent could be obtained based on a method of doing business. The dispute between these two companies involved a way to calculate concerning mutual funds, and the Supreme Court agreed that a particular method for calculating them could be patented under a business method patent.

As the name implies, business method patents refers to the method or the way in which the company does business. Business method patents are not a new major category of patents like plant or design patents, but is instead a type of utility patent. Patents for business methods belong to the same family of utility patents that are granted for new electronic equipment, or pharmaceutical products. The business method patent is classified at the Patent Office as a “Data processing patent (in the) financial, cost, management, or business determination”.

For an example of a business method patent, consider a web site or company that invents a new way of advertising for customers on the World Wide Web.

Business method patent applications have exploded with e-commerce and the Internet. If an e-commerce company can continually generate a profit with a new technique and can also prevent their competitors from using this method for at least seventeen years, then e-commerce of this sort becomes very attractive to many entrepreneurs. Previously, business methods on the internet were fair game for anyone who figured out how to implement them. With a business method patent in place, this changes dramatically!

Since the flood of applications to the Patent Office, various online companies have applied for and been granted patents on a wide variety of methods, many of those involving Internet shopping or Web commerce advertising.

In order to qualify for a business method patent there are various criteria that must be met. First of all, a business method patent is granted for a method or type of business software that is practical in its purpose. This is a criterion which is common for granting of all patents.

Another criterion is that the business method must not be obvious. The Patent Office will not approve applications for methods that they have deemed to be entirely obvious. It is easy to prove that a method is practical, but a little harder to prove it is not obvious.

A third criterion a business method patent must fulfill is that it should be something that is worth patenting. The Patent and Trademark Office will not just approve almost anything that comes through their office, but will scrutinize the applications to make sure they are worthy of being patented. This is the most subjective of the criteria that are applied, but it is not generally difficult to demonstrate that an idea is worthwhile, if it actually is.
